MusiX

These Terms of Use (“Terms”) form a binding agreement between you and Aquila Space (“we”, “us”, “our”) governing your use of the MusiX iOS application and any related services (together, the “App”).

By downloading, installing, or using the App you agree to these Terms. If you do not agree, do not use the App and delete it from your device.

1. Eligibility

You must be at least 13 years old, or the minimum age of digital consent in your country, whichever is higher, to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

By using the App you represent that you meet these requirements and that you are not barred from doing so under any applicable law.

2. Licence to use the App

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use one copy of the App on Apple-branded devices that you own or control, for your own personal, non-commercial use.

This is a licence, not a sale. We and our licensors retain all right, title, and interest in the App, including its name, logo, design, and code.

3. Music, content, and ownership

This section matters more than any other, so it is stated without hedging.

• We do not own the music. Songs, recordings, album artwork, artist names, playlist titles, and related metadata made available through the App are sourced from third-party services, principally YouTube. All rights in that content remain with its respective owners — the artists, labels, publishers, and rights-holders.
• We claim no affiliation. MusiX is an independent application. It is not endorsed by, sponsored by, or affiliated with YouTube, Google, T-Series, or any artist, label, or rights-holder whose content may appear in the App. All trademarks and names belong to their owners and are used only to identify the content they refer to.
• Content is provided as it is found. Availability, accuracy, and continuity of any track, playlist, or artwork depend entirely on the third-party source. Content may change, break, or vanish at any time, without notice, and through no act of ours.
• Your use must be lawful. You are responsible for ensuring your use of content through the App complies with the terms of the underlying source service and with the copyright law of your country.

4. Acceptable use

You agree that you will not:

• copy, redistribute, publicly perform, broadcast, or make available any content obtained through the App, except as expressly permitted by the rights-holder;
• circumvent, disable, or interfere with any security, digital rights management, or access-control feature of the App or of any service it connects to;
• reverse engineer, decompile, or disassemble the App, except to the limited extent such restriction is prohibited by applicable law;
• use the App to infringe the intellectual property or privacy rights of any person;
• use automated means to access the App, or impose an unreasonable load on any service it relies upon;
• use the App for any commercial purpose, or resell or sublicense access to it.

5. MusiX Premium subscriptions

The App offers an optional auto-renewing subscription, MusiX Premium, which removes advertising and unlocks additional features such as smart downloads and crossfade.

Plans and pricing

Prices are shown in your local currency at the point of purchase, inclusive of any applicable taxes, and may vary by territory. The price presented to you on the subscription screen before you confirm is the price that governs. An introductory free trial may be offered; where it is, its length is stated on the subscription screen before you purchase.

Billing, renewal, and cancellation

These terms are required by Apple and apply to every subscription:

• Payment is charged to your Apple ID account at confirmation of purchase.
• The subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours prior to the end of the current period, at the price of the plan you selected.
• You can manage and cancel your subscription by going to your Apple ID Account Settings after purchase. Cancelling stops the next renewal; it does not retroactively refund the current period.
• Deleting the App does not cancel your subscription. You must cancel through Apple.
• If you are offered a free trial, any unused portion is forfeited when you purchase a subscription during the trial. Unless cancelled at least 24 hours before the trial ends, the trial converts automatically into a paid subscription.

Refunds

All purchases are processed by Apple, and we cannot issue refunds. Refund requests are handled solely by Apple under the App Store Terms of Sale. You may request one at reportaproblem.apple.com. Nothing here limits any non-waivable statutory right of withdrawal or refund you may have under consumer law in your country.

Changes to plans

We may change subscription pricing or the features included in Premium. Any price increase applies only after the current period ends, and Apple will seek your consent to the new price before it takes effect. If you do not consent, the subscription will not renew.

6. Advertising

The free tier of the App is supported by advertising served by Google AdMob. We do not control which specific ads are shown, and their appearance is not an endorsement. Ads are removed for the duration of an active Premium subscription. How advertising data is handled is described in our Privacy Policy.

7. Notifications

If you grant permission, we may send push notifications about new music, features, and offers. You can turn these off at any time in iOS Settings › Notifications › MusiX.

8. Privacy

Our Privacy Policy explains how the App handles information. It forms part of these Terms, and by using the App you agree to it.

9. Copyright complaints

We respect intellectual property rights. MusiX does not host music; it plays content served by third-party services. Accordingly, a takedown will usually be most effective when directed to the service actually hosting the content.

If you nevertheless believe material accessible through the App infringes a copyright you own or control, contact us at support@aquilaspace.ltd with:

1. identification of the work claimed to be infringed;
2. identification of the material at issue, sufficient to let us locate it;
3. your contact details;
4. a statement that you believe in good faith the use is not authorised by the owner, its agent, or the law;
5. a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorised to act on the owner’s behalf;
6. your physical or electronic signature.

We will review complete notices promptly and take appropriate action, which may include removing the relevant item from the App’s catalogue.

10. Availability and changes to the App

We may modify, suspend, or discontinue the App or any of its features, in whole or in part, at any time and without liability to you. Because the App depends on third-party services outside our control, we do not warrant uninterrupted or error-free operation, and features may cease to function if an upstream service changes.

11. Termination

You may end this agreement at any time by deleting the App. We may suspend or terminate your licence immediately if you materially breach these Terms. Sections 3, 12, 13, and 15 survive termination.

Termination does not cancel an active subscription — see §5.

12. Disclaimers and limitation of liability

The App is provided “as is” and “as available”, without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Aquila Space will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, nor for any loss of profits, data, goodwill, or business opportunity, arising out of or relating to your use of, or inability to use, the App — even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the App is limited to the greater of (a) the amount you paid us for the App in the twelve months preceding the claim, or (b) USD 50.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for certain damages. Where that is so, the exclusions and limitations above apply only to the maximum extent permitted, and nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

13. Indemnity

You agree to indemnify and hold harmless Aquila Space and its officers, employees, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the App, or your violation of any law or third-party right.

14. Apple-specific terms

You acknowledge that these Terms are between you and Aquila Space only, and not with Apple Inc. (“Apple”). Apple is not responsible for the App or its content. Further:

• Apple has no obligation to furnish any maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.
• Apple is not responsible for addressing any claim by you or a third party relating to the App, including product liability, failure to conform to legal or regulatory requirements, or consumer protection claims.
• In the event of a third-party claim that the App infringes intellectual property rights, Apple is not responsible for its investigation, defence, settlement, or discharge.
• You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting”, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.

15. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction over any dispute arising from these Terms or the App.

If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you the right to bring proceedings in your country of residence, or to the protection of mandatory consumer-law provisions, nothing in this section deprives you of that right.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the App. If any provision is held unenforceable, the remainder stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or successor.

17. Changes to these Terms

We may revise these Terms from time to time. The “Last updated” date above reflects the current version, and material changes will be signalled in the App. Continuing to use the App after a revision takes effect constitutes acceptance of it.
